Getting out what they’re paid for

Investing in a company is always risky (virtually at least).  The management board of theses companies have insightful information they can leverage in buy/sell during the course of a year.  But what are they paid for?  What are the options/shares issued for them.  Barel Karsan wrote a good article on finding those values in the proxys.
